0.-PRELIMINARY

These terms and conditions will govern the purchase of products through the website www.ka-international.com, or any of its subdomains and directories included therein (hereinafter, the “Website” or the “Platform”).

Acceptance of this document, by checking the corresponding checkbox, implies that the CUSTOMER:

- Has carefully read and understands the content herein.

- Is of legal age and has sufficient capacity to assume the obligations derived from their actions through the Website.

- Accepts the content of these terms and conditions.

- Is informed that certain services may be subject to specific conditions which, depending on the case, will replace, supplement and/or modify these Terms. In the event of a conflict, the specific conditions shall prevail over these General Terms of Contract.

These conditions will have an indefinite validity period.

1.-CONTRACTING PARTIES

The parties to this contract are the CUSTOMER and DW SYSTEMS S.A. (hereinafter KA), located in Cocentaina, Avda d’Alacant 69, with Tax ID: A-54542782.

DW SYSTEMS S.A. holds the rights to use and operate the KA INTERNATIONAL brand.

The CUSTOMER of KA’s online store agrees to provide truthful information in the user registration or order forms and to keep it updated at all times.

The CUSTOMER agrees to accept these General Terms of Contract, understanding that they reflect KA’s best service intent for the nature of its activity.

2.-OBJECT OF THE CONTRACT

This contract aims to regulate the purchase relationship between KA and the CUSTOMER as outlined herein.

The purchase relationship entails the delivery, in exchange for a specific and publicly displayed price on the website, of a particular product.

3.-BASIC PRODUCT FEATURES

Product characteristics are detailed in each product page published on the Website.

KA aims to display the color of its products as close to the real color as possible. However, please note that fabric colors may vary depending on the user's monitor quality.

If you want to be sure about the color, you can request fabric samples before purchasing.

3.1.- Product offer: Customized products are those made exclusively upon the CUSTOMER’s request. Any product on the website “www.ka-international.com” with a dropdown menu allowing the CUSTOMER to choose how it is made—including materials, fabrics, dimensions, colors, accessories, or any cut fabric or upholstered furniture tailored for a specific order—is considered customized. Such customized products cannot be exchanged, refunded, or returned under any circumstances.

3.2.- Upholstered furniture: Upholstered furniture is covered in part with textile materials. The cushions and seats of sofas contain padding to provide softness. Seat softening is a result of regular use and not considered a manufacturing defect.

3.3.- Content errors:

KA INTERNATIONAL strives to ensure that the information on our website is accurate and free of typographical errors. If any such error occurs, unintentionally, it will be corrected as soon as it is detected. If a pricing error exists and a customer has made a purchase decision based on it, KA INTERNATIONAL will inform the customer, who may cancel the order at no cost.

3.4.- Linen products and fabrics: Products and fabrics containing linen may naturally have linen traces and thicker threads.

In any case, before payment, the Customer can view the selected products and order details on the website and make changes if needed. If an error is detected after the payment process, the Customer must contact Customer Service at +34 965 592 956 or atencion.cliente@ka-international.com

4.-ORDER PROCEDURE

Language. - The ordering process is currently available in Spanish and English.

Copy of the conditions linked to the purchase. - KA will not retain a copy of these conditions linked to each purchase, so we recommend the CUSTOMER keeps a copy of them for each transaction.

Technical means. - The Website lacks technical means to identify and correct errors in the data entered by the CUSTOMER, except for identifying required fields left blank.

Product catalog. - The CUSTOMER can access the product catalog on the website via various sections or the homepage.

If the CUSTOMER is interested in any product, they can click on it to view its description and features.

Customer account. - The Website allows users to register for a customer account to avoid re-entering data for each order.

To do this, the CUSTOMER must click the “REGISTER” button and enter their first name, last name, email address, and a password of their choice.

The system will then send a welcome email reminding the user to activate the account and log in when making future purchases for faster checkout.

It is recommended to enter a shipping address when logging in for the first time, which can later be modified. During the first purchase, the system will necessarily request this shipping address.

Both the username and password are confidential. Therefore, the CUSTOMER must handle them diligently and securely, preventing unauthorized use by third parties, regardless of their relationship with the user, as sharing is not allowed.

Consequently, the CUSTOMER must immediately notify KA of any loss of username and/or password or any breach of their confidentiality and will be liable for any damage caused through verified access using them.

Product purchase.- To buy any product on the website, the CUSTOMER must click “Add” and repeat the operation for additional items. To confirm the order, click the “shopping cart” icon located in the website header, showing the number of items added. The CUSTOMER can then:

a) View the shopping cart (with product details, total price, applicable taxes, and shipping costs), and remove items if desired.

b) Confirm the purchase (Check out). The CUSTOMER may log in with their user ID or password if they have an account or fill out a form to create one. The same information mentioned above is required to create the account.

The CUSTOMER must choose the shipping and payment methods and review the order details, price, applicable taxes, and shipping costs.

By registering on www.ka-international.com, the CUSTOMER agrees to the terms of use, privacy policy, and purchase conditions, which are available via links on the site.

After completing the above steps, the CUSTOMER can click “PAY” and enter payment details.

To complete the order, the CUSTOMER must provide all required information, being responsible for its truthfulness, accuracy, and correctness.

If the CUSTOMER detects any errors in the form, they must correct them via the contact form or email: info@ka-international.com.

KA reserves the right to verify the personal data provided by the CUSTOMER and take appropriate measures to ensure compliance with these terms.

5.-PAYMENT METHODS

5.1.-PAYMENT BY CREDIT/DEBIT CARD

Your card will be charged in real-time through the virtual POS once the provided data has been verified. KA will not store any of your credit card details. During order processing, your card data will be encrypted and securely transmitted via SSL solely for payment purposes to the financial institution.

Credit cards are subject to verification and authorization by the issuing institution. If the institution does not authorize the payment, the purchase agreement cannot be formalized.

If the CUSTOMER chooses this payment method, they confirm they are fully authorized to use the card during the purchase process.

5.2.-PAYMENT BY BANK TRANSFER

If you choose this option, after confirming the order, you must transfer the total amount (including taxes) of your order to the following bank account:

Amount: Enter the total order amount including taxes

Include the order reference number in the transfer subject or reference (a 9-character code received in your order confirmation email).

The order will be processed once we receive the bank transfer.

5.3.-PAYMENT VIA SEQURA: Split your purchase into 3 with a setup fee

Split your order into 3 equal payments, interest-free, with only a 2.95% setup fee (minimum €2.95) paid at checkout. The remaining payments have no additional fees. One payment per month. Instantly and paperwork-free.

For example, for a €100 order, you pay €33.33 at checkout (+ €2.95 fee) and another €33.33 each of the following two months. Charges are automatically made to your card on the same day each month. You can change the charge date without any extra cost.

5.4.-DISCOUNT COUPONS

If the customer has a discount coupon due to a promotional action by KA, they can enter the code during checkout to receive a discount as specified in the promotion. These coupons are not cumulative, meaning only one coupon can be used per purchase.

Additionally, discount coupons cannot be combined with other active promotions. If a product is on sale, a coupon cannot be used for an additional discount.

6.-SHIPPING

Upon order confirmation, we will indicate the estimated delivery date, to which a few extra days may be added for transportation.

Orders will be delivered to the destination specified at the time of placing the online order. Therefore, KA assumes no responsibility when delivery cannot be made due to incorrect, inaccurate, or incomplete data provided.

The buyer agrees to facilitate the delivery of the requested order by providing an address where it can be delivered during the usual merchandise delivery hours. If the customer fails to comply with this obligation, KA will not be held responsible for any delays or inability to deliver the requested order.

The logistics service will contact the buyer to schedule a delivery date and time. The buyer must inform the delivery personnel if there are any issues that might hinder access to the home, such as pedestrian-only streets, stairs, elevator or doorway dimensions, etc. This is particularly important for furniture deliveries.

The buyer must indicate if a lifting platform service is needed to access the interior of the home from the facade. These extra costs will be borne by the buyer.

If the recipient is absent at the time of delivery, KA reserves the right to make a second delivery, with transportation costs charged to the customer. If the delivery cannot be completed for any reason attributable to the buyer, KA reserves the right not to refund the amounts paid.

If the order cannot be received by the recipient for reasons beyond KA's control, or the recipient is repeatedly absent, KA assumes no responsibility and reserves the right to charge the customer for any resulting costs.

If the buyer requests a change in the delivery address, any additional costs incurred from this change may be charged, following prior notification and acceptance.

If the buyer cancels the order for any reason before the delivery date, 50% of the total order amount will be charged.

If the product ordered becomes unavailable for any reason, KA will inform the buyer as soon as possible and offer possible alternatives.

Likewise, in case of delay due to unforeseen circumstances or force majeure, transport delays, or the need for special delivery means, KA will notify the buyer as soon as possible.

Shipping method:

KA delivers small and medium-sized products throughout Spain. For large items like furniture, deliveries are limited to mainland Spain and the Balearic Islands. Shipping costs are calculated per shipment, not per order. Therefore, for orders with multiple items, the buyer has the option to request a single delivery for all items.

Shipping conditions vary depending on the type of product, classified as follows:

Large furniture items on the Iberian Peninsula. Shipping carried out by a logistics service specialising in furniture. This shipping system is used for large furniture items and/or those that require assembly. The furniture will be delivered to your home, unpacked, assembled and installed. The cost of this transport and assembly service will be indicated on the website. Wall mounting of headboards is excluded from this service. If you wish to contract the wall mounting service, please contact our customer service team.

Large furniture items in the Balearic Islands. Delivery by a logistics service specialising in furniture with street-level delivery. Products are delivered to the door of your home or residential complex. The customer is responsible for taking the goods up to the flat or room where they wish to install the product.

Small volume products. Shipments made by express transport service. This shipping system is used for fabrics, curtains and other ready-made products, decorative items, and small furniture that does not require assembly. The cost of this transport service will be indicated on the website.

Shipping fees are those shown on the website for each product and will be detailed in any case before order confirmation by the CUSTOMER.

Customs Information: If the user places an order for delivery outside of Spain and outside the European Union, they may be required to pay import duties and taxes, which will be charged upon arrival at the destination.

Any additional charges for customs clearance must be paid by the user. KA has no control over these charges. Customs policies vary widely from country to country, so we advise you to contact your local customs office for further information. Also, when ordering through KA’s website, the CUSTOMER is considered the importer of record and must comply with all laws and regulations of the country receiving the product. Please note that international shipments may be subject to inspection and opening by customs authorities.

7.-DELIVERY TIMES

Delivery times may depend on various factors such as origin, stock availability, public holiday calendar, shipping congestion during certain dates, or factory and workshop closures during summer, Easter, or Christmas holidays.

However, estimated delivery times are as follows:

Deliveries to mainland Spain and the Balearic Islands: Delivery within the mainland (Spain and Portugal) will take approximately 48 to 72 hours from Monday to Friday (no deliveries on weekends).

Orders placed on Friday after 4:00 p.m. or on weekends will be considered as placed the following Monday for delivery time calculation.

Deliveries within the European Union: The minimum delivery time for orders placed from any EU country is 4 to 7 days from the order date, excluding Saturdays, Sundays, and holidays. The same weekend delivery policy applies.

Deliveries outside the European Union (including Canary Islands, Ceuta, and Melilla): For orders placed from outside the EU (including the Canary Islands, Ceuta, and Melilla), the CUSTOMER must contact KA at: info@ka-international.com

8.-PRICES AND BILLING

Prices:

Product prices will be those published on the Website and include the applicable VAT at the time of order. Full payment is required when placing the order.

Prices may increase or decrease due to various factors. However, any price changes will take effect from the modification date and will not affect previously placed orders.

Billing:

Invoices for purchased products will be issued by KA and will include the VAT applicable at the time.

The CUSTOMER expressly consents to receiving electronic invoices. They will be sent via email. Customers considered consumers and users may revoke this consent by sending an email to: info@ka-international.com

9.-WARRANTY

KA offers a legal warranty of 3 years from the delivery date for all its products, in accordance with Royal Legislative Decree 1/2007, of November 16, which approves the consolidated text of the General Law for the Defense of Consumers and Users and other complementary laws.

This warranty covers any manufacturing defect that becomes apparent within the warranty period.

The warranty excludes damages caused by misuse, mishandling, negligence, accidents, wear and tear, or use different from that for which the product was designed, as well as damages caused by external agents (water, fire, sun, etc.).

If the product purchased is defective, KA will proceed, as appropriate, with repair, replacement, price reduction, or contract termination, steps which will be free of charge for the consumer and user. The consumer and user must inform the seller of the defect within two months of becoming aware of it.

10.-RIGHT OF WITHDRAWAL

In accordance with current legislation, the CUSTOMER has the right to withdraw from the contract within 14 calendar days of receiving the product, without needing to justify their decision and without incurring any costs, except those mentioned below.

Returns will not be accepted for:

1. Products manufactured to order or made-to-measure products (fabrics by the metre, curtains, cushions, blinds, roller blinds, pouffes, lampshades, etc.) or upholstered furniture.

Custom-made products are those that are manufactured to order. By their nature, they have been produced according to the buyer's instructions and cannot be returned. All products on the ka-international.com website that have a drop-down menu allowing the customer to choose how they want the product to be made, selecting from this drop-down menu: materials, fabrics, measurements, colours or accessories, are manufactured specifically to order for each customer.

These products are considered personalised as they have been manufactured to the customer's specifications, require specific fabric cuts to make or upholster the product, and cannot be used for another customer. For this reason, they cannot be exchanged, refunded or returned for any reason.

2. Returns are not accepted for products from the Outlet, Flea Market or Limited Editions sections.

3. Wallpaper rolls must be returned in their original packaging. Returns of opened or damaged rolls of wallpaper will not be accepted.

The product must be returned in perfect condition, in its original packaging and with all its accessories. No unsolicited returns will be accepted without KA's authorisation. The price paid by the buyer will be refunded to their account as soon as possible once the product has been received and verified.

The withdrawal period shall expire 14 calendar days from the date of delivery of the contracted product (or date of acquisition of physical possession of the product) to the CUSTOMER or to the person designated by the CUSTOMER to collect it, other than the carrier.

To exercise the right of withdrawal, the CUSTOMER must notify their decision to withdraw from the contract by means of an unequivocal statement (e.g. a communication sent by email or post). To this end, the CUSTOMER may use the model withdrawal form below, although its use is not mandatory:

To meet the withdrawal deadline, it is sufficient for the communication concerning the CUSTOMER's exercise of this right to be sent before the expiry of the corresponding period.

Consequences of withdrawal:

In the event of withdrawal exercised and communicated by the CUSTOMER, and once such communication has been received, KA will provide the CUSTOMER with precise instructions for returning the order on which they are exercising their right of withdrawal, expressly indicating the postal address to which it should be sent.

The CUSTOMER shall bear the direct cost of returning the goods in the event of withdrawal, and to this end, shall hire the courier or postal service they deem appropriate, noting that under no circumstances will any return made on a ‘carriage forward’ basis be accepted.

All payments received from the CUSTOMER will be refunded, excluding shipping costs, without undue delay and, in any case, no later than 14 calendar days from the date on which KA was informed of the decision to exercise the right of withdrawal. KA may withhold such reimbursement until it has received the goods, or until the CUSTOMER has provided proof of return of the goods, whichever condition is met first, and in both cases at the address indicated by KA for this purpose. The refund will be made using the same means of payment used by the CUSTOMER for the initial transaction.

The CUSTOMER must return or deliver the goods directly to the address indicated by KA, without undue delay and, in any case, no later than 14 calendar days from the date on which the CUSTOMER communicates their decision to withdraw from the contract. The deadline will be considered met if the goods are returned before the end of that period.

In accordance with the provisions of Article 74 of Royal Legislative Decree 1/2007 of 16 November, which approves the Consolidated Text of the General Law for the Protection of Consumers and Users, dedicated to the consequences of exercising the right of withdrawal, and given the obligation to reciprocally return the goods once the right of withdrawal has been exercised, the CUSTOMER must return the products for which they are exercising their right of withdrawal in their original packaging and with all the accessories and/or complements they received.

The CUSTOMER shall only be liable for any reduction in the value of the goods resulting from handling other than that necessary to establish the nature, characteristics and functioning of the goods.

KA commits to responding to inquiries and complaints as soon as possible and always within the legal timeframes established.

12.-APPLICABLE LAW AND JURISDICTION

These terms and conditions are governed by Spanish law.

In the event of a dispute, the parties agree to submit to the courts and tribunals of the USER’s domicile, provided that they are considered a consumer or user under applicable legislation.

13.-COPYRIGHT INFRINGEMENT

In the event of the use of ANY photos or images belonging to DW SYSTEMS S.A., the author of the theft will be immediately reported for copyright infringement.

14.-OUR RIGHT TO MODIFY THESE TERMS

We reserve the right to revise and modify these Terms at any time.

You will be subject to the policies and Terms in effect at the time you use this website or place each order, unless by law or decision of governmental authorities we are required to make retroactive changes to those policies, Terms or Privacy Policy, in which case such changes may also affect orders previously placed.

15.-PROTECTION OF PERSONAL DATA

The personal information or data you provide to us will be processed in accordance with our Privacy Policy. By using this website, you consent to the processing of such information and data, and you declare that all information or data you provide is true and corresponds to reality.

In accordance with personal data protection regulations, we inform you that the data you provide through the website will be incorporated into the data files and processing systems owned by DW SYSTEMS S.A., for the purpose of managing the sale of the selected products and, if applicable, sending you information, including by electronic means, regarding the company’s activities and services.

Your data will be processed under the legal basis of fulfilling the contractual relationship, and will be retained for the time required by tax regulations. Please read the Privacy Policy carefully.

We inform you that some of your data will be shared with logistics operators so they can deliver the purchased products.

You may exercise at any time your rights of access, rectification, deletion, opposition, restriction of processing, and data portability by sending an email to info@ka-international.com, attaching a copy of your ID.

16.-DISCLAIMER OF LIABILITY

Unless expressly provided otherwise in these Terms, our liability in relation to any product purchased through our website shall be strictly limited to the purchase price of that product. However, and unless otherwise legally stipulated, we will not accept any liability for the following losses, regardless of their origin:

(i) loss of income or sales;

(ii) loss of business;

(iii) loss of profits or contracts;

(iv) loss of anticipated savings;

(v) loss of data; and

(vi) loss of management time or office hours.

Due to the open nature of this website and the possibility of errors in the storage and transmission of digital information, we do not guarantee the accuracy and security of information transmitted or obtained through this website unless otherwise expressly stated.

17.-FORCE MAJEURE

We shall not be liable for any failure or delay in the performance of any obligations assumed when such failure is due to events beyond our reasonable control ("Force Majeure"). Force Majeure shall include any act, event, non-occurrence, omission, or accident beyond our reasonable control, including but not limited to:

(i) Strikes, lockouts, or other industrial actions.

(ii) Civil commotion, riot, invasion, terrorist threat or attack, war (declared or not), or threat or preparation for war.

(iii) Fire, explosion, storm, flood, earthquake, subsidence, epidemic, or any other natural disaster.

(iv) Impossibility of use of trains, ships, aircraft, motor transport, or other means of public or private transport.

(v) Impossibility of use of public or private telecommunications systems.

(vi) Acts, decrees, legislation, regulations, or restrictions by any government or public authority.

Obligations shall be suspended during the period in which the Force Majeure continues, and we shall have an extension of time to fulfill such obligations for a period equal to the duration of the Force Majeure. We will use all reasonable means to bring the Force Majeure event to an end or to find a solution that allows us to fulfill our obligations despite the Force Majeure.

18.-ENTIRE AGREEMENT

These Terms and any documents expressly referred to herein constitute the entire agreement between you and us regarding the subject matter and supersede any prior agreement, understanding, or arrangement between you and us, whether oral or in writing.

You and we acknowledge that, in entering into a contract, neither party has relied on any representation or promise made by the other party or inferred from any statement or writing during the negotiations between the two parties prior to such contract, except as expressly set forth in these Terms.

Neither you nor we shall have any remedy in respect of any untrue statement made by the other party, whether oral or in writing, prior to the date of a contract (unless such untrue statement was made fraudulently) and the only remedy shall be for breach of contract as provided in these Terms.

If any of these Terms or any provision of a contract is declared null and void by a competent authority, the remaining terms and provisions shall remain in full force and effect, unaffected by such declaration of nullity.

19.-APPLICABLE LAW AND JURISDICTION

These terms of use and privacy policy are governed by Spanish law.

In the event of any conflict or discrepancy in the interpretation or application of these contractual conditions, both parties expressly waive any other jurisdiction and submit to the Courts and Tribunals of Alcoy (Spain), unless the applicable legal provisions regarding competent jurisdiction provide otherwise.

If the purchasing party is domiciled outside of Spain, both parties expressly waive any other jurisdiction and submit to the Courts and Tribunals of Alcoy (Spain).
